Liveezy Studios Master Software and Digital Asset License Agreement

1. Grant of License

Upon valid purchase or download, Liveezy Studios (“Licensor”) grants the purchaser (“Licensee”) a non-exclusive, non-transferable, worldwide license to use the accompanying software, 3D assets, digital content, or related materials (“Product”) under the terms of this Agreement.

Licensee may:

Use the Product for personal, educational, or commercial projects.
Modify or adapt the Product for use within Licensee’s own creative or commercial works.
Publish or distribute final works (images, renders, games, applications, videos) incorporating the Product, provided the Product itself is not distributed or made accessible as a stand-alone file.

2. Restrictions

Licensee shall not:

Resell, share, rent, sublicense, or otherwise distribute the Product in its original or modified form.
Include the Product or any portion thereof in other libraries, asset packs, templates, or open repositories.
Circumvent any technical protection measures or license validation systems used by Liveezy Studios.
Remove, obscure, or alter any copyright, trademark, or ownership notices contained in the Product.
Claim authorship, trademark, or ownership of the Product or derivative works based substantially upon it.

3. Ownership

All rights, title, and interest in and to the Product remain the exclusive property of Liveezy Studios.
This license does not transfer ownership.
The Product is protected by U.S. and international copyright laws, treaties, and trade-secret provisions.

4. AI-Assisted Development Notice

Portions of the Product may have been developed using artificial intelligence (“AI”) tools for code generation, design assistance, or content drafting.
All resulting output has been authored, curated, or materially modified by Liveezy Studios, and is the sole property of Liveezy Studios.

No AI provider or third party holds any claim, license, or ownership interest in the Product or its contents.
Any third-party open-source or public libraries utilized are governed by their own respective licenses, copies of which are included or referenced as applicable.

5. Third-Party Data and APIs

Some Products may access or display information from external data sources or APIs.
All third-party data remains the property of its respective owners.
Licensee’s use of such data is subject to the data provider’s terms of service.

Liveezy Studios makes no representation or warranty regarding the accuracy, reliability, or continued availability of any third-party data service.

6. Attribution

Attribution to “Liveezy Studios” or a link to https://www.liveezystudios.com is appreciated but not required for commercial use, unless otherwise stated in a specific Product’s documentation or data license.

7. Updates and Support

Liveezy Studios may, at its discretion, provide updates, patches, or enhancements.
Access to updates or support may require proof of purchase or a valid user account.
Nothing herein obligates Liveezy Studios to provide future updates, support, or feature additions.

8. Termination

This license is effective until terminated.
It will automatically terminate without notice if Licensee breaches any term of this Agreement.
Upon termination, Licensee must immediately cease use of the Product and destroy all copies in their possession.

Termination does not limit any rights or remedies available to Liveezy Studios under law.

9. Disclaimer of Warranties

The Product is provided “as is” and without warranty of any kind, express or implied.
Liveezy Studios expressly disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
The entire risk arising out of use or performance of the Product remains with the Licensee.

10. Limitation of Liability

In no event shall Liveezy Studios, its owners, developers, or affiliates be liable for any consequential, incidental, indirect, or special damages (including loss of profits, data, or business interruption) arising from use or inability to use the Product, even if advised of the possibility of such damages.
Liveezy Studios’ total cumulative liability shall not exceed the amount paid by Licensee for the Product.

11. Governing Law and Venue

This Agreement shall be governed by and construed under the laws of the State of New Mexico, United States, without regard to conflict-of-law principles.
Any dispute arising under this Agreement shall be subject to the exclusive jurisdiction of the state or federal courts located in Doña Ana County, New Mexico.

12. Entire Agreement

This document constitutes the entire agreement between Liveezy Studios and the Licensee concerning the Product.
It supersedes all prior agreements, representations, or understandings.
Any modification to this Agreement must be in writing and signed by an authorized representative of Liveezy Studios.
